Terms of Service

Last updated

These Terms of Service (the Terms) govern your access to and use of Opcus, including the website at www.opcus.co, the web application, the Android app and any related services (together, the Service). The Service is operated by Cintria Games LLC, a company registered in Missouri, USA (we, us or Opcus).

Please read these Terms carefully. They are written to be as clear as possible, but they are a binding agreement between you and us. Our Privacy Policy explains how we handle personal data and forms part of these Terms.

1. Acceptance of these Terms

By accessing or using the Service, including using the focus timer in guest mode without an account, you agree to these Terms. If you do not agree, please do not use the Service.

The Service is not directed to children under 13, or under 16 in the European Economic Area where that higher age applies. If you are under the age of majority where you live, you may use the Service only with the involvement and permission of a parent or legal guardian, who agrees to these Terms on your behalf.

2. The Service

Opcus is a focus timer and lightweight productivity workspace. The timer, with its presets and custom durations, can be used without an account in guest mode, in which case your settings and data are stored in your browser's localStorage and not on our servers. Creating an account gives you access to additional features such as tasks, a daily planner, Kanban boards, Study Jams, session history and analytics, and saved focus routines.

We may add, change or remove features over time. We aim to give reasonable notice of significant changes that negatively affect how you use the Service, especially changes affecting paid plans.

3. Accounts

To create an account, you must provide a valid email address and a password and verify your email address. You agree to provide accurate information and to keep it up to date.

You are responsible for keeping your password confidential and for activity that takes place under your account. If you believe your account has been accessed without your permission, change your password and contact us at support@opcus.co as soon as possible.

You may delete your account at any time from your profile settings or by emailing support@opcus.co. What happens to your data on deletion is described in our Privacy Policy.

4. Acceptable use

We want Opcus to be a calm, useful place for everyone. When using the Service, you agree not to:

  • break any applicable law or infringe the rights of others;
  • attempt to gain unauthorised access to the Service, other users' accounts or our systems, or probe, scan or test their vulnerability without our written permission;
  • interfere with or disrupt the Service, including by introducing malware or placing an unreasonable load on our infrastructure;
  • use bots, scrapers or other automated means to access the Service, except for standard search engine indexing of public pages;
  • copy, reverse engineer or resell the Service, except to the extent the law expressly allows;
  • create accounts in bulk, impersonate another person or misrepresent your affiliation with anyone;
  • click on ads you are not genuinely interested in, encourage others to do so, or otherwise generate artificial ad impressions or clicks;
  • use the Service to send spam, harass others or distribute unlawful, hateful, sexually explicit or otherwise harmful content.

5. Your content

You keep ownership of the content you create in Opcus, such as task names, checklist items, board cards and routine names (Your Content). You grant us a limited, worldwide, non-exclusive licence to store, process and display Your Content only as needed to operate, secure and improve the Service for you, and to show it to people you choose to share it with, for example in a Study Jam.

You are responsible for Your Content and confirm that you have the right to use it. We do not monitor Your Content as a matter of course, but we may remove content or restrict access where we reasonably believe it breaks these Terms or the law.

6. Study Jams

Study Jams are shared co-focus rooms that signed-in users join through an invite link. Other participants in a room may see information such as your display name, your focus status and your focus time in that room. When you take part in a Study Jam, please:

  • share invite links only with people you want to invite;
  • treat other participants with respect and do not harass, threaten, abuse or discriminate against anyone;
  • not use names or other content in a room that are offensive, misleading or unlawful;
  • not join rooms you have not been invited to or disrupt rooms you are in.

7. Paid plans, subscriptions and refunds

Opcus offers Free, Plus and Pro plans. At present, all web features are available free of charge while paid plans are being prepared. When paid plans become available, the features, price, billing period and any trial terms will be shown to you before you buy.

Subscriptions purchased on the web will be processed by Stripe and subscriptions purchased in the Android app will be processed by Google Play, with subscription status managed through RevenueCat. Your purchase is also subject to the terms of the relevant payment provider. We do not receive or store your full card number.

Unless stated otherwise at the time of purchase, subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep paid features until then. Google Play purchases must be cancelled and managed through Google Play, and refunds for them are handled under Google Play's refund policies.

Except where required by law or stated otherwise at the time of purchase, payments are non-refundable and we do not provide refunds for partial billing periods. Nothing in these Terms limits any rights you have under mandatory consumer protection law, including any statutory right of withdrawal. If you believe you have been charged in error, contact support@opcus.co.

If we change the price of a subscription, we will give you advance notice, and the new price will apply from your next renewal after the notice period. If you do not agree, you may cancel before the change takes effect.

8. Advertising

Visitors and Free members may see our own promotions and ads from third-party advertising partners on content pages of the Service, such as guides. We do not show ads during a running focus session or on the timer and other app and tool screens. Plus and Pro members do not see ads.

We are not responsible for the content of third-party ads or for the products, services or websites they link to. Any dealings you have with advertisers are solely between you and them. How advertising cookies and consent work is explained in our Privacy Policy.

9. Intellectual property

The Service, including its software, design, logos, the Opcus name, guides and other content we provide (excluding Your Content), is owned by us or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable and revocable licence to use the Service for your own personal or internal business purposes.

You may share links to our guides and quote short excerpts with attribution, but you may not republish our guides in full or use our name or logo in a way that suggests endorsement without our permission.

If you send us feedback or suggestions, we may use them without any obligation to you.

10. Availability and changes

We work hard to keep Opcus available and reliable, but we do not guarantee that the Service will be uninterrupted, error-free or available at any particular time. We may need to suspend the Service for maintenance, updates or reasons outside our control.

Guest data is stored only in your browser. We cannot recover it if you clear your browser data, use private browsing, or switch browsers or devices.

11. Disclaimers

The Service is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

Opcus is a productivity tool. Our guides and features offer general information about focus and study habits and are not medical, psychological or professional advice. Any results you achieve depend on you and are not guaranteed.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, revenue or goodwill, arising out of or relating to your use of the Service.

To the fullest extent permitted by law, our total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or 50 US dollars or the equivalent in your local currency.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud.

13. Termination

You may stop using the Service and delete your account at any time.

We may suspend or terminate your access to the Service if you seriously or repeatedly break these Terms, if we are required to do so by law, or if continuing to provide the Service to you would create legal risk for us. Where reasonable, we will tell you why and give you an opportunity to respond. If we terminate a paid subscription without cause, we will refund the unused portion of any prepaid fees.

Sections that by their nature should survive termination, including those on intellectual property, disclaimers, limitation of liability and governing law, will continue to apply.

14. Governing law and disputes

These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Service will be subject to the jurisdiction of the state and federal courts located in Missouri. If you use the Service as a consumer, nothing in this section deprives you of the protection of the mandatory consumer laws of your country of residence or of your right to bring proceedings in the courts there.

If you are a consumer, you also benefit from any mandatory provisions of the law of the country where you live, and you may be able to bring proceedings in your local courts. We encourage you to contact us first at support@opcus.co so that we can try to resolve any issue informally.

15. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes to the Service or the law. The date at the top of this page shows when they were last updated. If we make material changes, we will give reasonable notice, for example by email or a notice in the Service, before they take effect. If you continue to use the Service after the changes take effect, you accept the updated Terms; if you do not agree, you should stop using the Service and may delete your account.

16. Contact

If you have any questions about these Terms, contact us at support@opcus.co. We typically respond within 24 to 48 hours.
